Article 1 - APPLICABILITY

1. The UNBLND Platform (hereinafter "Platform") is owned and operated by UBIGREAT BV, a limited liability company under Belgian Law, with its registered office at Affligem, registered with the Crossroads Bank for Enterprises, under company number 0778.407.974., (hereinafter "we", "us", "our", "UBIGREAT", "UNBLND").
2. These Terms of Use set out how you (hereinafter "you" or "User") may use our Platform. By using our Platform in any way, you agree to be bound by these Terms of Use.
3. These Terms of Use constitute a legally binding agreement between us and you and govern your use of our Platform. If you do not agree to any provision, you are not authorised to use or access our Platform.
4. You represent and warrant that you have the necessary legal authority to agree to and accept these Terms of Use.

Article 2 - DEFINITIONS

The following definitions apply to these Terms of Use:

2.1. "Account" means your personal user account created through the onboarding process;

2.2. "Intellectual Property Rights" means any and all rights associated with works of authorship, trademarks, trade secrets, patents, designs, software, data, and all related registrations throughout the world;

2.3. "Personal data" means any information relating to an identified or identifiable person;

2.4. "Platform" means the social networking platform offered to you by UNBLND;

2.5. "Privacy Notice" means our privacy notice relating to the processing of personal data when using the Platform;

2.6. "Terms of Use" refers to the current Terms of Use;

2.7. "Third Parties" means any natural or legal person or entity that is not a party to these Terms of Use;

2.8. "User" means the user of the Platform.

Article 3 - DESCRIPTION OF THE PLATFORM

3.1. The Platform is a meeting platform for end users that can connect with other end users and have real experiences. UBIGREAT provides the infrastructure and is not a party or mediator in user interactions. The Platform offers three main functionalities:

• Interest groups: Based on your location, interests and/or preferred activities, you will automatically become part of interest groups.
• Profile personalization: By answering questions and using interactive features, you can personalize your profile.
• One-on-one contact:You can send an 'unblind' request to someone in a group. Users only access your individual profile when you both agree to 'unblind'.

3.2. The Platform is offered to its Users free of charge.

3.3. When using the Platform for the first time, Users will be required to create a personal Account.

Article 4 - USE OF THE PLATFORM

4.1. Each User is required to:

• comply with applicable law and regulations, including those related to the protection of Personal Data;
• refrain from manipulating information provided or using any deceptive technique;
• not send data or documents via the Platform that violate Third Party rights, are harmful, defamatory, violent, unlawful, or contain viruses or malicious instructions.

4.2. You are solely responsible for the internet connection and equipment required to use the Platform.

4.3. You are co-responsible for ensuring secure and confidential use of the Platform and solely responsible for data you enter yourself.

4.4. We cannot be held liable for any loss or damage resulting from non-compliance with the above requirements.

Article 5 - LICENSE & LIMITATIONS

5.1. The Platform and all its functionalities are our exclusive property. All rights not expressly granted to you are reserved.

5.2. We grant you a personal, revocable, non-exclusive, non-transferable right to use the Platform in accordance with these Terms of Use.

5.3. You may not: decompile or reverse engineer the Platform; distribute, sell, or sublicense it; remove proprietary notices; modify or create derivative works; use it for illegal activities; use automated tools to scrape or collect information; distribute malware; or bypass protective measures.

Article 6 - INTELLECTUAL PROPERTY RIGHTS

6.1. The Platform and all related Intellectual Property Rights worldwide remain our exclusive property.

6.2. No express or implied license is granted to the User beyond what is expressly stated in these Terms of Use.

7.1. For technical support, contact terms@unblnd.com. We will make all reasonable efforts to respond in the shortest possible time.

Article 8 - PRIVACY & PROTECTION OF YOUR PERSONAL DATA

8.1. Your privacy is very important to us. We comply with all applicable laws when processing your Personal Data.

8.2. Your Personal Data will always remain yours. We only collect and process it in accordance with our Privacy Notice.

Article 9 - LIABILITY

9.1. To the extent permitted by law, we won't be liable for any loss or damage caused by viruses or other harmful material transmitted through your use of the Platform.

9.2. We can only be held liable for damage that is directly attributable to us.

9.3. We will not be liable for any punitive, incidental, or indirect damages (including loss of profits, data, revenues) to the extent permitted by applicable law.

9.4. The Platform may contain inaccuracies. We expressly reserve the right to correct erroneous information.

9.5. The Platform is provided on an "as is" and "as available" basis without warranty of any kind.

9.7. Subject to the maximum extent permitted by applicable law, our liability shall not exceed €1,000.00.

Article 10 – WARRANTIES & INDEMNIFICATION

I. By Us

10.1. All warranties otherwise implied by applicable law are excluded to the fullest extent permitted.

10.2. We cannot guarantee that all errors will be corrected or that access will always be uninterrupted, secure, and error-free.

10.3. We will indemnify you against substantiated claims by Third Parties based on our violation of their Intellectual Property Rights through the Platform, excluding claims from your unauthorized use, modifications, or use with unauthorized third-party products.

II. By the User

10.6. You will indemnify and hold us harmless from claims resulting from your breach of these Terms of Use, content infringing Third Party Intellectual Property Rights, or fraud or gross negligence on your part.

Article 11 - UPDATES & CHANGES

11.1. We reserve the right to amend these Terms of Use, modify the Platform, or terminate your access, with or without cause.

11.2. Changes take effect immediately after being made available. By continuing to use the Platform, you agree to any changes.

11.3. You do not have the right to amend these Terms of Use.

11.5. We recommend checking these Terms of Use periodically for updates.

Article 12 - DURATION & TERMINATION

12.1. These Terms of Use are effective from when you create your Account and remain in effect until deletion of your Account.

12.2. We may immediately restrict, terminate or suspend your use of the Platform for serious breach of these Terms of Use without prior notice.

Article 13 - APPLICABLE LAW AND JURISDICTION

13.8. These Terms of Use are exclusively governed by Belgian law. The courts and tribunals of Ghent shall have exclusive jurisdiction over any disputes arising in relation to the Platform.
